Employment Contract between A Few Bad Newbies LLC (AFBN) and ("Employee")
This Employment Contract ("Contract") is made and entered into as of August 4, 2023 ("Effective Date") between A Few Bad Newbies LLC ("AFBN"), and ("Employee"), represented by Lukas Hosford, Jacob Younger, and Danyelle Fitzgerald.
Recitals:
WHEREAS, AFBN desires to employ Employee in the position of Newbie Admin to work on revamping AFBN.me into an immersive 3D interactive website, along with the development of eight subdomains.
WHEREAS, Employee is a skilled professional in administration and related tasks, marketing, promotions, and sales.
WHEREAS, Employee has agreed to work for AFBN on the terms and conditions set forth in this Contract.
NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, AFBN and Employee agree as follows:
- Position and Duties:
Employee shall be employed by AFBN in the position of Newbie Admin. Employee's primary duties and responsibilities shall include, but are not limited to:
- Administrative tasks related to the revamping of AFBN.me and the development of eight subdomains.
- Marketing and promotions to drive engagement, visibility, and organic growth within the crypto community and beyond.
- Procuring sales of AFBN Revenue Sharing NFTs and other relevant products/services.
- Employment Term:
The employment term shall commence on the Effective Date and shall continue for a minimum period of one (1) year. After the initial one-year term, this Contract will automatically renew for subsequent one-year periods unless either party provides written notice of non-renewal at least 30 days prior to the end of the current term.
- Compensation:
AFBN shall provide Employee with the following compensation:
3.1. Ongoing Payment of 0.2% of every $DRIP transaction displaced on the 1st of every month based on the previous month's volume. This payment shall be equally delegated among all teammates, marked above as Employee, until termination of contract.
3.2. 1% of every transaction of the upcoming COHESION Blockchain by A Few Bad Newbies LLC to be automated for the remainder of this contract through Smart Contract conditions shall be assigned to Employee and shall be delegated equally among all teammates.
3.3. $5 of every AFBN Revenue Sharing NFT sale shall be assigned to Employee and delegated equally among all teammates until contract is terminated or NFT is sold out.
3.4. A one-time lump sum of 100,000 $DRIP tokens shall be allocated to Employee and shall be delegated equally among all teammates upon public launch of the token.
- Benefits:
Healthcare benefits are not currently available for Employee. However, once funds are available, AFBN shall consider providing healthcare benefits to eligible employees, including Employee, until contract termination.
- Termination:
- a) By Employee: Employee may terminate this Contract after the initial one-year term by providing AFBN with a written notice of termination at least 30 days prior to the desired termination date.
- b) By AFBN: AFBN may terminate this Contract at any time if Employee violates this Contract or the Code of Conduct outlined below.
- Code of Conduct:
Employee shall adhere to the following Code of Conduct during the course of employment with AFBN:
- Treat all colleagues, clients, and stakeholders with respect and professionalism.
- Maintain confidentiality and protect sensitive information of AFBN and its clients.
- Comply with all applicable laws, regulations, and company policies.
- Avoid conflicts of interest and disclose any potential conflicts promptly.
- Act ethically and with integrity in all business dealings.
- Refrain from engaging in any conduct that may harm the reputation or interests of AFBN.
- Confidentiality:
Employee agrees to maintain the confidentiality of any proprietary or sensitive information disclosed during the course of employment with AFBN, both during and after the employment term.
- Governing Law:
This Contract shall be governed by and construed in accordance with the laws of New York.
- Entire Agreement:
This Contract constitutes the entire agreement between AFBN and Employee with respect to the subject matter hereof and supersedes all prior discussions, understandings, and agreements, whether oral or written.
IN WITNESS WHEREOF, the parties hereto have executed this Employment Contract as of the Effective Date.
